Terms of Service

These Terms of Service ("Terms") govern your use of the QuanterLab platform ("Service") operated by QuanterLab UG (haftungsbeschränkt), referred to here as "we", "us", "our". By registering for or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By creating an account, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. You agree to comply with these Terms and all applicable laws and regulations.

2. Description of Service

QuanterLab is a no-code quantitative trading platform that provides tools for:

• Building and configuring indicator-based trading strategies
• Backtesting strategies against historical market data
• Paper trading (simulated trading) with real-time market data
• Portfolio construction, optimization, and visualization
• Risk analysis including Monte Carlo simulation and VaR/CVaR
• Factor models and fundamental screening

QuanterLab is a research and educational tool. It does not execute real trades, manage real money, or connect to brokerage accounts.

3. User Accounts

• You must provide a valid email address and verify it to activate your account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Closed Beta — No Paid Subscriptions Yet

QuanterLab is currently operated as a free, invitation-only closed beta. There is no charge for using the Service. Paid subscription plans are planned for a later stage; before any paid plan goes live, the following will happen:

• These Terms will be amended to add pricing, billing cycle, payment processor, and refund policy.
• A Widerrufsbelehrung (statutory withdrawal notice for distance contracts with consumers) will be presented at checkout, and you will only become bound to pay after explicitly accepting it.
• You will be notified by email at least 30 days before the change takes effect.

Until that point, no payment data is collected and no payment processor is integrated.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of applicable laws
• Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems
• Reverse-engineer, decompile, or disassemble the Service
• Scrape, harvest, or collect data from the Service using automated means without our prior written consent
• Transmit malware, viruses, or other harmful code
• Use the Service in a manner that could damage, disable, or impair it
• Share, resell, or redistribute your account access to third parties
• Circumvent any access restrictions, rate limits, or security measures

6. Intellectual Property

6.1 Our IP

The Service, including its design, code, algorithms, documentation, and visual elements, is the intellectual property of QuanterLab and is protected by copyright and other intellectual property laws. You may not copy, modify, or redistribute any part of the Service without our written consent.

6.2 Your Content

You retain ownership of all strategy configurations, portfolios, and other content you create using the Service. We claim no intellectual property rights over your content. You grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

6.3 Generated Code

Standalone Python strategy files exported from the Service are yours to use, modify, and distribute freely. We make no claim to code generated for your configurations.

7. Financial Disclaimer

QuanterLab is not a financial advisor, broker, or dealer. The information, tools, and results provided by the Service are for educational and research purposes only and do not constitute financial, investment, or trading advice.

• Past performance and backtesting results do not guarantee future returns.
• All trading involves substantial risk of loss. You may lose some or all of your investment.
• Paper trading results are simulated and may not reflect actual market conditions, including slippage, liquidity, and execution delays.
• You are solely responsible for your own investment decisions.
• We strongly recommend consulting a qualified financial advisor before making any investment decisions.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
• We do not warrant the accuracy, completeness, or reliability of any market data, calculations, or analysis results.
• We are liable without limitation for damages arising from injury to life, body, or health and for damages caused by intent or gross negligence, as well as for liability under the Product Liability Act (ProdHaftG). For ordinary negligence we are liable only for breach of a material contractual duty (Kardinalpflicht), and only for foreseeable damages typical of the contract.
• Beyond that, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses.

9. Indemnification

You agree to indemnify, defend, and hold harmless QuanterLab and its operator from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service in breach of these Terms or in violation of any third-party rights, to the extent permitted by mandatory German consumer protection law.

10. Termination

• You may delete your account at any time by contacting us at contact@quanterlab.com.
• We may suspend or terminate your account for violation of these Terms, with or without prior notice.
• Upon termination, your right to use the Service ceases immediately. Your data will be deleted in accordance with our Privacy Policy.
• Sections 6, 7, 8, 9, 11, and 12 survive termination of these Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law provisions and the UN Convention on Contracts for the International Sale of Goods (CISG).

For consumers within the EU, mandatory consumer protection provisions of the country of residence apply insofar as they provide more favorable protection.

The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Tübingen, Germany, to the extent permitted by law. For consumers, statutory provisions on jurisdiction remain unaffected.

12. Dispute Resolution

We are committed to resolving disputes amicably. If you have a complaint, please contact us at contact@quanterlab.com and we will endeavor to resolve the matter within 30 days.

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) pursuant to §36 of the German Consumer Dispute Resolution Act (Verbraucherstreitbeilegungsgesetz, VSBG).

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may request account deletion.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
